Michael S. Aust focuses his practice on corporate law, mergers and acquisitions, and other business transactions. He advises business owners, entrepreneurs, and closely held companies on legal matters arising throughout the life cycle of a business.
Corporate Law. Michael counsels clients on entity formation, corporate governance, ownership arrangements, restructurings, succession planning, and other general business matters. He regularly drafts and negotiates operating agreements, shareholder agreements, employment agreements, buy-sell agreements, and related corporate documents. Michael works closely with clients to develop practical legal structures that reflect their ownership, management, and long-term business objectives.
Mergers and Acquisitions. Michael represents sellers and buyers in business acquisitions, dispositions, and ownership buyouts. He assists clients throughout each stage of a transaction, including structuring, due diligence, negotiation, documentation, and closing. His experience includes drafting and negotiating letters of intent, asset purchase agreements, equity purchase agreements, disclosure schedules, and ancillary transaction documents.
Representative Transactions.
· Represented a nationwide private equity-backed commercial cleaning and facility-maintenance company in multiple strategic acquisitions.
· Represented a pest control company in the acquisition of a regional pest control business.
· Represented a New Jersey-based irrigation company in the acquisition of substantially all assets of a regional irrigation business.
· Represented a minor league baseball team in the sale of substantially all assets of the business.
· Represented a limited liability company in the buyout of a member’s ownership interest.
· Represented a regional coffee company in the acquisition of a retail beverage business.
· Represented two New Jersey-based nonprofit organizations in the transfer of substantially all corporate assets.
· Represented clients in connection with more than 40 commercial and residential real estate transactions.
